Terms of Service

1. About these terms

These terms govern the use of Paletix, a service operated by Paletix Technologies Ltd., 29 HaMaccabim St., Sderot, Israel("Paletix", "we"). They apply to the businesses that sign up for Paletix ("Customer", "you") and their users. If you have a signed agreement with us, that agreement takes precedence where it differs from these terms.

2. The service

Paletix provides AI digital workers that talk to a business's leads and customers on channels such as WhatsApp, on the business's behalf and under its name. For example, PAL answers new leads, asks the business's qualifying questions, offers times from its calendar and books meetings. Workers can run in a mode where a person approves every message before it is sent, or send on their own within limits the business sets. A worker hands a conversation to a person at the business when it falls outside what the worker is set up to handle.

3. Your account

• You are responsible for your users, their roles and keeping their access secure.
• You must give us accurate business details and keep them up to date.
• You can stop any worker at any time with the switches in the console.

4. Your responsibilities

• You make sure you have a lawful basis, and where required consent, to contact the people your workers message, including opt-in for WhatsApp messages.
• You comply with the WhatsApp Business Policy, the WhatsApp Commerce Policy and Meta's terms for your WhatsApp Business account, and with the laws that apply to your business and your messages.
• You are responsible for the content you give your workers (services, answers, rules) being accurate and lawful.
• Workers say that they are digital assistants. You will not present them as human.
• You will not use Paletix for spam, cold outreach to people who did not ask to be contacted, unlawful, misleading or harmful content, or for professional advice (such as medical or legal advice) that must come from a qualified person.

5. AI output

Workers use language models. We check every message against rules before it is sent (for example, no prices unless approved, and only times that come from your calendar), but AI output can still be wrong. You are responsible for reviewing how your workers are set up and for the decisions you make based on their output.

6. Third-party services

Paletix works with services we do not control, such as WhatsApp, calendar providers and model providers. Their availability, pricing and terms (including WhatsApp conversation charges billed by Meta to your WhatsApp Business account) are set by them. We are not responsible for their outages or changes.

7. Fees

Fees, billing periods and payment terms are set in your order or agreement. Unless stated otherwise, fees do not include VAT and are not refundable.

8. Data protection

We process personal data as described in our Privacy Policy. For your leads' and customers' data you are the controller and we are your processor, under our data processing agreement. We do not use your data to train AI models.

9. Intellectual property

You own your data and content. Paletix owns the service, its software and its worker templates. You give us the rights we need to use your content to provide the service to you.

10. Confidentiality

Each side keeps the other side's non-public information confidential and uses it only for this relationship.

11. Disclaimers and liability

The service is provided "as is". We do not promise a specific number of bookings or results. To the extent the law allows, neither side is liable for indirect or consequential damages, and our total liability is limited to the fees you paid us in the 12 months before the claim.

12. Suspension and termination

You can end the service at any time with 30 days’ written notice; there is no minimum term. We may suspend a worker or an account right away if it puts people, a WhatsApp number or the service at risk, or breaks these terms. On termination we delete your data as described in the Privacy Policy, and can export it to you first if you ask.

13. Governing law

These terms are governed by the laws of the State of Israel. The competent courts in Tel Aviv have exclusive jurisdiction.

14. Changes

We may update these terms. We will post the new version here and tell customers about significant changes in advance.
